1. Eligibility and Accounts
1.1 Eligibility. You must be legally able to enter into a binding agreement to use the Service.
1.2 Account security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account.
1.3 Accurate information. You must provide accurate information and keep your account information reasonably up to date.
1.4 Representing an organization. If you use the Service on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" includes the organization.
2. Service Description
2.1 What Rezon provides. Rezon provides tools for creating and managing polls and ranked-voting workflows, inviting participants, collecting rankings and related feedback, calculating results, and managing poll visibility and lifecycle settings.
2.2 Feature availability. Features may include subscriptions, pay-as-you-go resource packages (PAYG), reminders, translation tools, rewards, and referral functionality. Some features may be offered in beta, may change over time, or may be unavailable in certain regions.
2.3 No guarantee of availability. We may modify, suspend, or discontinue all or part of the Service at any time. We will try to provide reasonable notice where practicable, especially for material changes.
3. Your Content and Responsibilities
3.1 Your content. You retain ownership of the content you submit to the Service, including poll text, options, media, participant lists, and related materials ("User Content").
3.2 License to operate the Service. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, and otherwise use your User Content only as necessary to provide, maintain, secure, and improve the Service, and to perform related support and troubleshooting.
3.3 Permissions and legal compliance. You represent and warrant that:
you have all rights and permissions necessary to submit your User Content to the Service; and
your User Content and your use of the Service comply with applicable law and do not infringe the rights of others.
3.4 Participant lists and contact data (important). If you upload, import, or otherwise provide participant contact data (such as email addresses) or invite participants:
you represent that you have a valid legal basis to do so (including under applicable data protection law);
you are responsible for the accuracy of the data and for your communications with those participants; and
you will comply with all applicable rules on marketing, spam, and privacy.
3.5 Public polls and visibility. If you publish a poll publicly or configure it to allow public access, you understand that User Content and related poll data may become visible to other users or the public according to poll settings.
3.6 Removal and moderation. We may remove or restrict access to User Content if we believe it violates these Terms, is unlawful, or creates risk to the Service or others.
4. Acceptable Use
You agree not to:
4.1 use the Service for unlawful, fraudulent, abusive, harassing, or deceptive activities;
4.2 upload malware, attempt unauthorized access, probe or scan systems, or interfere with Service security or availability;
4.3 infringe intellectual property, privacy, or other rights of others;
4.4 use automated means (bots, scrapers, crawlers) to access the Service, extract data, overload systems, or disrupt the platform, except where expressly allowed by us in writing;
4.5 misuse invitation, reminder, or messaging features (including sending unsolicited messages, spam, or deceptive invitations);
4.6 attempt to bypass limits, quotas, paywalls, or other controls (including PAYG/resource mechanisms);
4.7 reverse engineer, decompile, or attempt to discover source code or underlying algorithms, except to the extent such restriction is prohibited by law.
5. Billing, Subscriptions, PAYG, and Rewards
5.1 Pricing and plans
Paid plans and PAYG packages may be offered on a recurring or one-time basis as described at checkout. Prices, plan structure, and included limits may change from time to time. Where required by applicable law, we will provide notice before changes take effect.
5.2 Auto-renewal and cancellation
Subscription plans renew automatically unless canceled before the next billing cycle. Canceling stops future renewals but does not retroactively cancel already-billed periods.
5.3 Usage and PAYG resources
Usage limits and included resources may vary by plan. PAYG purchases may be used to top up eligible resources. We may apply reasonable technical measures to prevent abuse and to maintain platform integrity.
5.4 Payments and processors
Payments are processed through third-party payment providers such as Stripe. You authorize us and our payment providers to charge applicable fees, taxes, and adjustments associated with your purchases.
If a payment fails or is reversed (e.g., chargeback), we may suspend access to paid features until payment is resolved.
5.5 Refunds
Except where required by law, fees are non-refundable once a paid billing period has started or a PAYG purchase has been delivered.
If you are a consumer in the EU/EEA/UK or another jurisdiction with mandatory consumer protection rules, those mandatory rights may apply and are not waived by these Terms.
5.6 Rewards and referral credits
Rewards and referral credits may be offered under separate program rules. Unless explicitly stated otherwise, rewards are promotional, have no cash value, and may be changed, limited, suspended, or discontinued.
6. Suspension and Termination
6.1 Our right to suspend/terminate. We may suspend or terminate access to all or part of the Service if:
you violate these Terms;
your use creates security, legal, or operational risk;
we are required to do so by law or competent authority.
6.2 Your right to stop using. You may stop using the Service at any time. If you cancel a subscription, it will remain active until the end of the current paid period unless stated otherwise at checkout.
6.3 Effect of termination. Upon termination, your right to access the Service ends. Some data (including billing records and limited logs) may be retained as described in our Privacy Policy and as required by law.
7. Intellectual Property
Rezon and its software, branding, design, and service materials are protected by intellectual property laws. Except for rights explicitly granted in these Terms, we reserve all rights.
8. Third-Party Services
The Service may integrate with third-party services (for example payment processors, social login providers, translation providers, analytics, and infrastructure services). Your use of those third-party services may be subject to their own terms and policies, and we are not responsible for third-party services beyond what applicable law requires.
9. Disclaimers
The Service is provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
We do not guarantee that polls, rankings, or calculated results will meet your requirements or be suitable for any particular purpose. You are responsible for how you use the Service outputs.
Some jurisdictions do not allow certain disclaimers; in that case, disclaimers apply only to the extent permitted by law.
10. Limitation of Liability
To the maximum extent permitted by law, Rezon and its operator are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business opportunities.
To the extent liability cannot be excluded, our aggregate liability for claims arising out of or related to the Service is limited to the amount you paid to us for the Service during the 12 months preceding the event giving rise to liability.
Some jurisdictions do not allow limitation of liability for certain damages; in that case, limitations apply only to the extent permitted by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless Rezon and its operator from claims, liabilities, damages, and expenses (including reasonable legal fees) arising from:
your use of the Service;
your User Content (including participant lists you upload);
your violation of these Terms or applicable law.
This indemnity does not apply to the extent a claim arises from our own unlawful conduct.
12. Governing Law and Disputes
12.1 Governing law. These Terms are governed by the laws of Bulgaria, without regard to conflict-of-law rules.
12.2 Venue / jurisdiction. Unless mandatory law provides otherwise, disputes shall be subject to the exclusive jurisdiction of the competent courts in Sofia, Bulgaria.
12.3 Mandatory consumer rights. If you are a consumer and mandatory consumer protection law grants you the right to bring claims in your country of residence (or otherwise limits choice of law/jurisdiction), those mandatory rules apply and are not waived by these Terms.
13. Privacy
Your use of the Service is also governed by our Privacy Policy. If there is a conflict between these Terms and the Privacy Policy regarding data processing, the Privacy Policy controls for those issues.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and publish the revised Terms on this page.
